Invoicing Module Addendum
This Invoicing Module Addendum (this “Addendum”) governs your use of the HangarOS Invoicing module (the “Invoicing Module”) and supplements the HangarOS Terms of Service (the “Terms”). This Addendum is offered by OrangeTree Technologies LLC d/b/a HangarOS.
Capitalized terms not defined here have the meanings in the Terms. If there is a conflict between this Addendum and the Terms with respect to the Invoicing Module, this Addendum controls.
By enabling the Invoicing Module, you agree to this Addendum.
1. What the Invoicing Module does
1.1 The Invoicing Module is a software tool that:
- (a) generates invoices in your QuickBooks Online (“QBO”) account based on data you enter or that is computed from operations in the Service (such as Hobbs time and instructor time recorded against a flight);
- (b) synchronizes invoice status (sent, paid, voided) between QBO and the Service through the Intuit QuickBooks API;
- (c) sends reminders to recipients through QBO's hosted email functionality; and
- (d) maintains an internal ledger of student prepaid credits as a bookkeeping convenience.
1.2 The Invoicing Module does not process payments, hold funds, transmit funds, escrow funds, or act as a merchant of record for invoices issued to your customers.
2. HangarOS does not hold or transmit funds
This Section 2 is the most important part of this Addendum. Read it carefully.
2.1 No money flow through HangarOS. Funds paid by your customers (such as students, renters, or other clients of your flight school) never touch HangarOS infrastructure. Funds move directly between your customer and your QuickBooks-connected bank or merchant account.
2.2 Not a money transmitter. HangarOS is not a money transmitter, money services business, payment processor, escrow agent, payment facilitator, or financial institution with respect to invoices generated through the Invoicing Module. We are a software-only orchestration layer.
2.3 You are the merchant of record. With respect to invoices generated through the Invoicing Module and sent to your customers, you are the merchant of record. You are responsible for your relationship with your customers and with Intuit / QuickBooks Payments (if you use QBO Payments to collect on those invoices).
2.4 Student credit balances are a ledger. The student prepaid credit feature in the Service is a bookkeeping ledger that reflects amounts your customers have prepaid to you. The underlying funds, if any, sit in your bank account or your QBO account, not with HangarOS. HangarOS does not hold, custody, or escrow those funds.
3. QuickBooks Online integration
3.1 Required. Using the Invoicing Module requires an active QuickBooks Online subscription with Intuit. You authorize the Service to access your QBO account via OAuth.
3.2 Your Intuit agreement governs QBO. Your use of QBO is governed by your separate agreement with Intuit. You are responsible for understanding and complying with that agreement and with the QuickBooks Online Terms of Service and Intuit Privacy Statement.
3.3 Intuit fees. Intuit may charge subscription, transaction, and payment-processing fees in accordance with your QBO agreement. You are solely responsible for those fees.
3.4 Scope of access. The Service requests the QBO “Accounting” OAuth scope, which permits read-write access to invoices, customers, payments, items, and accounts in your QBO realm. We use that access only to perform the operations described in Section 1.
3.5 Token security. We store your QBO OAuth access and refresh tokens encrypted at the application layer using AES-256-GCM prior to database storage.
3.6 Disconnection. You may disconnect QBO at any time through the Invoicing Module settings. Disconnection revokes our access and clears stored tokens; existing invoices remain in QBO under your control.
4. Data and accuracy
4.1 You are responsible for invoice data. Invoices are generated from data you enter or configure in the Service. You are solely responsible for the accuracy, completeness, and legality of all invoice data, including:
- amounts and rates (aircraft rental rate, instructor rate, fees, taxes)
- descriptions and line-item detail
- recipient information
- payment terms and due dates
- tax classification, calculation, and any required reporting
- compliance with applicable invoicing, consumer protection, and tax laws
4.2 HangarOS does not verify invoice data. HangarOS does not independently verify, audit, or validate any invoice data, recipient information, or tax classification.
4.3 Source-of-truth. Once an invoice is created in QBO, QBO is the source of truth for that invoice. Adjustments made directly in QBO may take time to reflect in the Service or may not be reflected.
5. Fraud, chargebacks, and disputes
5.1 You are responsible for fraud prevention. You are solely responsible for fraud prevention, detection, mitigation, and dispute response in connection with the Invoicing Module and any merchant, bank, or payment-processing account you use to collect on invoices (including QBO Payments). This includes:
- (a) unauthorized invoices generated from your Account;
- (b) fraudulent transactions processed under your QBO or other merchant account;
- (c) misuse of the Invoicing Module by your employees, contractors, agents, or anyone with access to your Account;
- (d) identity theft, phishing, or social engineering targeting your Account, your customers, or your QBO account; and
- (e) any loss arising from compromised credentials.
5.2 No HangarOS liability for invoices. TO THE FULLEST EXTENT PERMITTED BY LAW, HANGAROS HAS NO LIABILITY FOR INVOICES GENERATED THROUGH THE INVOICING MODULE, INCLUDING WITHOUT LIMITATION:
- (a) errors, inaccuracies, or omissions in invoice data;
- (b) disputes between you and your customers;
- (c) failed, delayed, or incorrect payments;
- (d) tax calculation errors or failures to comply with applicable tax law;
- (e) chargebacks, refunds, or payment reversals processed under your QBO or other merchant account;
- (f) regulatory enforcement actions arising from your invoicing practices; or
- (g) any financial loss arising from your use of the Invoicing Module.
5.3 You handle your own disputes. When a customer disputes an invoice, requests a refund, or initiates a chargeback, you are responsible for responding through QBO, your bank, or your merchant processor. HangarOS does not represent you in disputes with your customers.
6. Taxes
6.1 You are responsible for tax. You are solely responsible for determining which taxes apply to your invoices, for calculating and collecting them correctly, and for remitting them to the appropriate authorities.
6.2 No tax advice. HangarOS does not provide tax advice and does not calculate or remit your customers' sales tax. Consult a qualified tax advisor.
6.3 1099 reporting. You are responsible for any tax reporting obligations relating to amounts you receive through QBO or otherwise.
7. Indemnification specific to the Invoicing Module
In addition to the indemnification obligations in the Terms, you agree to defend, indemnify, and hold harmless HangarOS, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- (a) your use of the Invoicing Module;
- (b) any invoice you generate through the Invoicing Module, including disputes, alleged inaccuracies, chargebacks, or alleged fraud;
- (c) any claim by any of your customers concerning amounts billed or charged by or for you;
- (d) any violation of your QuickBooks Online or other merchant agreement;
- (e) any tax dispute or tax authority action involving your invoicing or revenue; or
- (f) any violation by you of any law governing invoicing, billing, consumer protection, or money handling.
8. Suspension and termination of the Invoicing Module
8.1 By you. You may disable the Invoicing Module at any time through Account settings.
8.2 By us. We may suspend or terminate your access to the Invoicing Module (without terminating your Account) if:
- (a) we have a reasonable belief that you have used the Invoicing Module fraudulently or in violation of the Terms, this Addendum, or the Acceptable Use Policy;
- (b) your QBO connection is invalid or revoked;
- (c) Intuit suspends or terminates your QBO account; or
- (d) a regulator, court, or law enforcement instructs us to do so.
8.3 No refunds. Suspension or termination of the Invoicing Module does not entitle you to a refund of fees paid for the Invoicing Module subscription line item.
9. Fees
The Invoicing Module is billed as an add-on to your HangarOS Subscription at the rate published on hangaros.com/pricing. Fees are in addition to any fees you pay to Intuit or any payment processor.
10. General
10.1 Incorporation. This Addendum is incorporated into and forms part of the Agreement (as defined in the Terms).
10.2 Survival. Sections 2, 4, 5, 6, 7, 8.3, and 10 survive termination of this Addendum or the Agreement.
10.3 Changes. We may update this Addendum from time to time. Material changes take effect 30 days after notice; non-material changes take effect immediately upon posting.
